These terms govern all subscription, hosted, and online services provided by Twilight I.T. LLC. Please read them carefully before using our services.

LLC, including web hosting, web development, Microsoft 365 licensing, domain registrations, email security, SEO & Online Visibility, and any other recurring or managed online service.
By purchasing, activating, or continuing to use any Twilight I.T. service, you agree to these Terms in full. If you do not agree, please contact us before your next billing cycle to discuss your options.
The following terms apply to all subscription and hosted services unless a service-specific addendum states otherwise.
Twilight I.T. LLC provides web hosting, web development, Microsoft 365 licensing, domain registration management, email security, SEO & Online Visibility, and related subscription-based services. All services are provided "as is" without warranties, expressed or implied, except as specifically stated in a signed service agreement.
Subscription services require a valid credit card on file and are billed at the time they are due in accordance with the applicable service billing cycle. All sales are final.
Standard service cancellations require 30 days' written notice prior to the next billing cycle. Clients must submit cancellation requests in writing via email to [email protected].
Microsoft 365 licenses and any other services with annual commitments are subject to the vendor's terms in addition to these Terms.
Twilight I.T. manages domain registrations on behalf of clients as a convenience service. The following terms apply to all domains managed or registered through Twilight I.T.
It is the client's responsibility to ensure their billing information remains current and that invoices are paid on time. Expired domains may be purchased by third parties and cannot be guaranteed for recovery.
Twilight I.T. makes reasonable efforts to notify clients of upcoming domain renewals. However, failure to receive a renewal notice does not relieve the client of responsibility for timely payment.
Clients may request a domain transfer or unlock code at any time by contacting us in writing at [email protected]. Twilight I.T. will provide the transfer authorization code promptly, provided the account is in good standing with no outstanding balance. Transfer fees may apply depending on the registrar and domain extension.
Twilight I.T. does not guarantee the availability of any specific domain name and is not liable for the loss of a domain due to registrar error, expiration, or third-party action.
Twilight I.T. provides services in good faith and relies on timely payment to continue delivering quality service. The following terms apply in the event of an unresolved outstanding balance.
In the event of an outstanding unpaid balance, Twilight I.T. reserves the right to suspend any or all services, including but not limited to web hosting, email, Microsoft 365 licensing, domain management, and any other subscription-based service, until the balance is paid in full.
Important: Suspension of access does not cancel the service or stop billing. Twilight I.T. continues to incur costs for hosting infrastructure, licensing, and vendor fees during any suspension period. Invoices will continue to be generated for all active services regardless of suspension status until a formal written cancellation is received and processed.
In the event of non-payment, Twilight I.T. reserves the right to lock, suspend, or withhold the transfer of any domain name managed on the client's behalf until all outstanding balances are resolved in full. This does not constitute a permanent transfer of ownership but rather a temporary administrative hold pending payment.
Any website files, databases, email data, or other intellectual property hosted on Twilight I.T. servers may be restricted from access or download in the event of an unresolved outstanding balance. Access will be fully restored promptly upon receipt of payment in full. Twilight I.T. does not claim ownership of client content and this restriction is solely a collections remedy.
All suspended services, domain access, and hosted content access will be fully restored promptly upon payment of the outstanding balance in full. Twilight I.T. will make reasonable efforts to notify the client of any pending suspension before action is taken. Clients may contact us at any time to discuss payment arrangements.
The following additional terms apply specifically to SEO & Online Visibility services and supplement the core terms above.
SEO and Online Visibility services are provided on an ongoing, best-effort basis, focusing on improving website clarity, content, and search visibility over time.
No specific rankings, traffic levels, or business outcomes are guaranteed. Search visibility is influenced by factors outside our control including search engine algorithms, competition, and market conditions.
Due to the ongoing nature of the work and time invested, all payments are non-refundable.
Twilight I.T.'s liability for SEO services is limited to the amount paid during the most recent billing period. No liability for indirect or consequential damages.
These Terms are governed by the laws of the State of Idaho.
Any dispute, claim, or controversy arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be resolved exclusively by binding arbitration rather than in court. Both parties waive any right to a jury trial or court proceeding. Arbitration shall be conducted in Bonner County, Idaho, by a single arbitrator mutually agreed upon by both parties. If the parties cannot agree on an arbitrator, one shall be appointed in accordance with the rules of the American Arbitration Association (AAA). The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.
The party initiating arbitration shall be responsible for the initial filing fee. All other arbitration costs, including the arbitrator's fees, shall be borne equally by both parties unless the arbitrator determines that one party's claim or defense was frivolous or brought in bad faith, in which case the arbitrator may award all costs and fees to the prevailing party.
Either party may seek emergency injunctive or equitable relief from a court of competent jurisdiction solely to prevent irreparable harm pending arbitration. This exception does not waive either party's right to arbitrate the underlying dispute.
On-site and remote IT support services are not covered by these Terms of Service. A separate IT Services Engagement Agreement must be reviewed and signed before IT work is performed. Contact us to request your agreement.
